Liquidation of Companies:

Types of Liquidation:

There are two types of liquidation: voluntary liquidation and compulsory liquidation.

- Creditors' Voluntary Liquidation (CVL): CVL occurs when the company is insolvent, and it is unable to pay its debts as they fall due. In this case, the directors convene a meeting of the company's creditors, who appoint a liquidator to wind up the affairs of the company.

2. Compulsory Liquidation: Compulsory liquidation occurs when a company is forced to wind up by an order of the court. It usually happens when the company fails to pay its debts, and a creditor files a winding-up petition against the company.

Accounting for Amalgamation - Amalgamation of Companies:

Amalgamation of companies refers to the combination of two or more companies into one entity. It can be classified into two types:

1. Amalgamation in the Nature of Merger: In this type of amalgamation, the assets and liabilities of the amalgamating companies are transferred to the amalgamated company at their book values. There is no adjustment to the book values of the assets and liabilities, and any difference between the book value of the net assets acquired and the consideration paid is recorded as goodwill or capital reserve.

2. Amalgamation in the Nature of Purchase: In this type of amalgamation, the assets and liabilities of the amalgamating companies are recorded at their fair values. Any difference between the fair value of the net assets acquired and the consideration paid is recognized as goodwill or capital reserve.
