Memorandum of association refers to that basic document of the company in which those conditions are stated on the basis of which a company is incorporated.It defines the objectives of the company.Article of association refers to that document of the company in which rules of internal management to achieve the objectives laid down in the Memorandum of Association, are stated.It defines the rules for attaining the objectives mentioned in the Memorandum of Association.Also, MOA defines the relationship between the company and the outsiders whereas AOA defines the relationship between the members and the company.
