The Buyer's Obligation in a Deliverable State

Definition: When goods are in a deliverable state, they are ready and available for delivery to the buyer.

Buyer's Obligation:

The buyer is obligated to take delivery of the goods when they are in a deliverable state. This means that the buyer must accept the goods and pay for them, even if they do not want them anymore.

This obligation arises because the seller has fulfilled their duty to make the goods available for delivery, and the buyer has entered into a contract to purchase those goods. The buyer cannot back out of the contract simply because they no longer want the goods.

If the buyer refuses to take delivery of the goods, they will be in breach of contract and will be liable for any damages that result from that breach. The seller may also be entitled to cancel the contract and resell the goods to another buyer.

Exceptions:

There are some situations where the buyer may not be obligated to take delivery of the goods even if they are in a deliverable state. These include:

- If the contract allows for a right of rejection: Some contracts may allow the buyer to reject the goods if they do not meet certain specifications or quality standards.

- If the goods are damaged or defective: The buyer may be entitled to refuse delivery if the goods are damaged or defective.

- If there is a force majeure event: A force majeure event is an unforeseeable event that prevents one or both parties from fulfilling their obligations under the contract. In such a case, the buyer may be excused from taking delivery of the goods.
