Acceptance of Delivery by Buyer 
(i) Buyer's Right to Examine the Goods (Sec. 41) Where goods are delivered to the buyer which he has not previously examined, he is not deemed to have accepted those goods unless and until he has had a reasonable opportunity of examining them for the purpose of ascertaining whether they are in conformity with the contract ISec. 41(1)1. Unless otherwise agreed, when the seller tenders delivery of goods to buyer, he is bound, on request to afford reasonable opportunity to the buyer of examining the goods for the purpose of ascertaining whether they are in conformity with the contract or not [Sec. 41(2)1. In the absence of an agreement to the contrary the proper place of inspection is the place of delivery. (ii) When Buyer is Deemed to have Accepted the Goods (Sec. 42) The buyer is deemed to have accepted the goods when—
(a) he intimates to the seller that he has accepted the goods, 
(b) the goods have been delivered to him and he does any act in relation to them which is inconsistent with the ownership of the seller, and (0 after the lapse of a reasonable time, he retains the goods without intimating to the seller that he has rejected them. Example: A sells wheat to B and sends wheat to B by ship. On arrival B took delivery of the goods and the same day sold a part of wheat to C. He shall be deemed to have accepted the goods by doing an act inconsistent with the ownership of the seller. Buyer not Bound to Return the Rejected Goods (Sec. 43) Unless otherwise agreed, where goods are delivered to the buyer and he refuses to accept them, having the right to do so, he is not bound to return them to the seller, but it is sufficient if he intimates to the seller that he refuses to accept them. The seller should take the goods back at his own expense.
